Terms of Service

1. Contracting Party and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you and EventEdge ("we," "us," or "the Service"). By creating an account, accessing, or using EventEdge, you represent that you have the legal capacity to enter into this agreement and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

2. Description of Service

EventEdge is a software tool that provides automated edge detection and optional trade execution on sports prediction markets (currently Kalshi). The Service uses automated statistical models to compare estimated win probabilities against market prices and identify potential mispricings. The Service is a software automation tool only. EventEdge is not a broker, dealer, exchange, financial advisor, or money transmitter.

The Service does not guarantee uptime, availability, or uninterrupted operation. We reserve the right to suspend, throttle, disable, or modify any feature of the Service — including automated trade execution — at any time, with or without notice, for any reason including system maintenance, risk management, or emergency circumstances.

3. Eligibility

You represent and warrant that you:

  • Are at least 18 years old;
  • Have the legal capacity to enter into a binding contract;
  • Are located in a jurisdiction where use of prediction markets is lawful;
  • Maintain a valid account in good standing on any third-party platform used with the Service (e.g., Kalshi);
  • Are not barred from using the Service by any applicable law, regulation, sanction, or platform restriction;
  • Are responsible for ensuring your use of the Service complies with all applicable laws and regulations in your jurisdiction.

4. Account, API Keys, and Security

You are responsible for maintaining the confidentiality of your account credentials and any third-party API keys you provide to the Service. API keys are encrypted at rest using AES-256 encryption; however, you provide them at your own risk. You are solely responsible for all activity that occurs under your account.

You agree to notify us immediately of any unauthorized use of your account or any other breach of security. You are responsible for configuring appropriate API key permissions and scopes on third-party platforms.

5. Fees, Credits, and Billing

EventEdge charges a fee of 1% of trade volume for each executed trade, deducted from prepaid credits on your account. The minimum fee per trade is $0.05. Credits are purchased through our payment processor (Stripe) and are denominated in U.S. dollars.

By purchasing credits, you authorize EventEdge and its payment processor to charge your selected payment method. You are responsible for any applicable taxes. Credits expire 6 months after the date of purchase. Expired credits are forfeited and cannot be recovered.

Prepaid credits are generally non-refundable. Exceptions may be made at our sole discretion for verified billing errors, unauthorized charges, or duplicate transactions. If you believe a charge was made in error, contact us within 30 days at the email listed below. All fees for successfully executed trades are final and non-refundable.

Treatment of remaining purchased credits upon account suspension, termination, or voluntary closure will be handled on a case-by-case basis consistent with applicable law.

6. No Financial Advice; No Guarantee of Profits

The Service does not provide financial, investment, or trading advice. Signals, edges, probabilities, and position sizing are generated by automated statistical models and are informational only. These models may be inaccurate, incomplete, outdated, or based on flawed assumptions.

EventEdge does not guarantee any profits, returns, or specific outcomes. You are solely responsible for your trading decisions and any resulting profits or losses. Past performance does not guarantee future results. Any historical performance data displayed on the platform — including win rates, ROI, and profit/loss figures — reflects past results under specific market conditions and should not be interpreted as a prediction, promise, or guarantee of future performance.

7. Risk Disclosure

Trading on prediction markets involves substantial risk of loss. You may lose some or all of your invested capital. You should only trade with money you can afford to lose.

Automated trading carries additional risks including but not limited to:

  • Software bugs, defects, or malfunctions;
  • Unintended trade execution, incorrect quantities, or incorrect pricing;
  • Connectivity issues, network failures, or API errors;
  • Market volatility, low liquidity, and price slippage;
  • Delays in data feeds, stale prices, or model errors;
  • Third-party platform outages, restrictions, or rule changes.

The Service may execute trades that result in losses due to any combination of the above factors. You acknowledge and accept all of these risks by using the Service.

8. Trading Losses and Refund Policy

To the maximum extent permitted by applicable law, EventEdge is not responsible for any trading losses incurred through use of the Service, whether caused by market conditions, software errors, technical failures, model inaccuracies, or any other reason.

You will not be entitled to any refund, reimbursement, or compensation for trading losses. This applies regardless of the cause of the loss, including losses caused by errors or defects in the Service, except to the extent that liability cannot be disclaimed under applicable law.

9. Software and Technical Disclaimer

The Service is software that may contain bugs, errors, or defects. Automated trading systems may malfunction, execute unintended trades, trade incorrect quantities, submit orders at incorrect prices, or fail to execute or cancel trades when intended. EventEdge makes no warranty that the software will operate without interruption, error, or defect.

You acknowledge that software errors may result in financial losses and agree that, to the maximum extent permitted by applicable law, EventEdge shall not be liable for any such losses. We reserve the right to reject, throttle, cancel, or reverse any order or trade routed through the Service at any time for any reason, including to correct errors or manage risk.

10. Third-Party Platforms

The Service integrates with third-party platforms including but not limited to Kalshi. EventEdge is not affiliated with, endorsed by, or responsible for any third-party platform. Third-party platforms may experience downtime, change their APIs, modify their terms and fee structures, freeze or restrict your account, or cease operations entirely.

EventEdge is not responsible for any losses, disruptions, or account restrictions caused by third-party platforms. Your use of third-party platforms is governed by their respective terms of service, and you are responsible for complying with those terms. Market data provided by or derived from third-party sources may be delayed, inaccurate, or incomplete.

11. Limitation of Liability

To the maximum extent permitted by applicable law, EventEdge is provided "as is" and "as available" without warranty of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

To the maximum extent permitted by applicable law, in no event shall EventEdge, its owners, operators, employees, or affiliates be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including but not limited to trading losses, lost profits, missed opportunities, data loss, or technical failures. Our total aggregate liability to you for any and all claims arising from or relating to the Service shall not exceed the lesser of (a) the amount you paid to EventEdge in the 30 days preceding the event giving rise to the claim, or (b) $100.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations shall apply to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless EventEdge, its owners, operators, employees, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your trading activities and any resulting profits or losses; (c) your violation of these Terms; (d) your violation of any applicable law, regulation, or third-party platform terms; or (e) any dispute between you and a third-party platform or other user.

13. Prohibited Uses

You agree not to:

  • Use the Service in violation of any applicable law, regulation, or third-party platform terms (including Kalshi's terms of service);
  • Use stolen, unauthorized, or third-party credentials or API keys;
  • Attempt to reverse engineer, decompile, disassemble, or extract the source code, models, algorithms, or proprietary logic of the Service;
  • Scrape, crawl, or systematically extract data from the Service;
  • Redistribute, resell, or share signals, alerts, or proprietary data from the Service with any third party;
  • Use the Service to evade geographic, eligibility, or regulatory restrictions;
  • Interfere with, disrupt, or overload the Service or its infrastructure;
  • Create multiple accounts to circumvent fees, limits, or restrictions.

14. Intellectual Property

All rights, title, and interest in the Service — including software, models, algorithms, signals, analytics, user interface, branding, and documentation — are and remain the exclusive property of EventEdge. Nothing in these Terms grants you any ownership interest in the Service.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal trading purposes. This license does not include the right to modify, distribute, sell, sublicense, or create derivative works based on the Service.

15. Dispute Resolution and Arbitration

Informal Resolution: Before initiating any formal dispute proceeding, you agree to contact us at the email address below and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration: If the dispute cannot be resolved informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The consumer filing fee shall be as set forth in the AAA's consumer fee schedule, and EventEdge will pay any additional arbitration fees required by the AAA rules. Arbitration shall take place in the State of Texas, or at another location mutually agreed upon, and may be conducted remotely to the extent permitted by the AAA rules.

Class Action Waiver: You agree that any arbitration or proceeding shall be conducted on an individual basis only. You waive any right to participate in a class action, collective action, or representative action against EventEdge. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

Small Claims Exception: Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. If arbitration is unavailable for any reason, the exclusive venue for any dispute shall be the state or federal courts located in Texas.

16. Privacy and Data

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information, including account credentials, API keys, and trading data. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

17. Termination

We may suspend or terminate your account at any time for any reason, including but not limited to violation of these Terms, suspicious activity, or operational necessity. You may request deletion of your account at any time by contacting us.

Upon termination, your license to use the Service immediately ceases. Treatment of remaining purchased credits upon termination will be handled consistent with applicable law. Sections 6 through 15 shall survive termination of these Terms.

18. Changes to Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice through the Service, by email, or by posting a prominent notice on the platform, and will identify the effective date of the changes. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

19. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.

20. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and EventEdge regarding your use of the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
